	<swrc:abstract xml:lang="en">This course guide covers the structure of corporations and corporate officers. Unit 2 discuss board of directors and board committees. Good practices of corporate governance,-there are a lot of checks and balances that have to be carried out throughout the entire hierarchy of corporation i.e. from top to bottom of management level and vice versa discussed in Unit 3. Unit 4 made cross reference to a few established reports originated in the United Kingdom, in particular the Cadbury report(1992), Greenbury Report(1995), Hampel report(1998), Turnbull Report(1999), Higgs Report(2003), Tyson Report(2003) and Smith report(2003). The last unit will comprises two part which are ethics and corporate responsibilities.</swrc:abstract>
